Terms and conditions
1. Platform, business models and seller
These terms and conditions apply to OpenDeal, which is operated by Management Consulting Mayr, Waldaustrasse 2, 9500 Wil SG, Switzerland. The product page identifies the relevant seller. OpenDeal distinguishes between retail sales by Management Consulting Mayr and marketplace sales by independent sellers.
For platform retail, Management Consulting Mayr is the contracting party, payment recipient, invoice issuer and customer-service contact. This also applies where a Swiss supplier or fulfilment partner ships the goods directly to the buyer on behalf of Management Consulting Mayr. The supplier does not become the seller and does not invoice the buyer.
For marketplace products, the independent seller shown on the product page is the civil-law contracting party and is responsible for the product, performance, defects and returns. Payment is processed through the connected Stripe Connect account and OpenDeal retains the disclosed platform fee. The VAT attribution of supplies and the formal invoice issuer are governed by mandatory Swiss law and the tax configuration approved for the seller. OpenDeal may generate the customer invoice in its own name or on the seller's behalf.
2. Sellers, suppliers and approval
Sellers must provide correct and complete identity, contact, product, price, tax and fulfilment information. Dropshipping and fulfilment partners must also document their identity, delivery areas, shipping rules, returns process, product compliance and rights to product data and images. Products are published only after administrative review.
3. Products
The product page, images, “New” declaration, binding gross price, named seller, availability and fulfilment methods are decisive.
4. Prices and buyer charges
All prices are stated in Swiss francs as gross prices. Shipping within Switzerland uses the flat shipping rate stored on the individual product; when free shipping is enabled, CHF 0.00 is charged. The flat shipping rate can be set per product. Any shipping is shown separately before payment. The total shown at checkout is binding. Buyers pay no separate OpenDeal sales commission.
5. Contract and advance payment
Before payment, the cart, addresses, fulfilment method and total can be reviewed and corrected. A binding order is submitted to the named seller using the clearly labelled payment button. The contract is concluded when payment succeeds and the electronic confirmation is sent.
6. Reservation and availability
Products may be reserved briefly when checkout starts. For dropshipping products, supplier stock must be current. If stock data are stale, goods are unavailable or an obvious pricing error exists, the order may be cancelled and any payment refunded in full.
7. Shipping and direct shipping
Orders are delivered exclusively to the Swiss shipping address confirmed at checkout. For direct shipping by a dropshipping partner, the handling and transit times shown on the product and in the applicable shipping policy apply. Tracking and delivery status may be transmitted by the fulfilment partner to OpenDeal.
8. Invoices, returns, defects and refunds
For platform retail, Management Consulting Mayr issues the customer invoice and remains responsible for communications, defects, returns and refunds, including where a supplier performs direct delivery. A physical return may be routed directly to the supplier after authorisation. For marketplace sales, the named seller is responsible and OpenDeal may provide technical support. Refunds are generally made through the original Stripe payment method.
9. Seller fees and Stripe Connect
For a successful marketplace sale, the independent seller owes OpenDeal the applicable success fee. It is deducted as a Stripe Connect application fee and documented by a seller-fee invoice. The remaining amount is attributed to the connected seller account. Stripe may charge the seller additional processing, dispute or payout fees.
For platform retail and dropshipping, Management Consulting Mayr receives the full customer payment. Purchase price, supplier shipping and other fulfilment costs are settled separately with the supplier and are not invoiced to the buyer by the supplier.
10. Accounts
Users must keep account, seller, address, tax and contact information accurate and current and protect access credentials.
11. Privacy
For direct delivery, only order and delivery data necessary to perform the shipment are shared with the relevant supplier. This does not include payment credentials, customer invoicing by the supplier or use for the supplier's own marketing.
12. Product safety and recalls
Sellers and suppliers must provide complete and accurate safety, manufacturer, importer, labelling and recall information. OpenDeal may immediately suspend products where documents are missing or a safety issue or recall arises.
13. Liability
Mandatory law applies. The independent marketplace seller remains responsible for its contract performance. For platform retail, Management Consulting Mayr remains responsible to the buyer even where a supplier performs delivery.
14. Amendments and law
The version available when the order or booking is made applies. Swiss law applies; mandatory places of jurisdiction remain reserved.
